This is an opportunity for members to hear updates on the past year, review financials, participate in governance, and help shape the future of your Co-op.
There are three open seats available, and we have six qualified candidates vying for these positions.

Overview – Special Resolutions for Member Consideration
As part of this year’s AGM, members will be asked to vote on two important bylaw amendments:
Resolution 1: Household Spending Requirement
This resolution proposes an update to director eligibility rules to better reflect how households shop today. Currently, candidates must meet a minimum annual or three-year spending requirement under their own membership. This amendment would allow candidates to combine their purchases with one other adult member living at the same address to meet that requirement.
Safeguards are included to ensure transparency and accountability, including:
– Disclosure of both membership numbers
– Written authorization from the additional household member
– Verification of spending by the Co-op prior to confirming eligibility
This change recognizes shared household purchasing while maintaining appropriate oversight.
Resolution 2: Committee Attendance Records
This resolution proposes a modernization of how director attendance at committee meetings is recorded. Currently, directors must sign a physical attendance book. This amendment would allow the Board to determine appropriate methods for recording attendance, providing flexibility to use digital or alternative systems as needed.

2026 AGM Resolutions
R-1: Household Spending Requirement
PURPOSE: Addition to rules to allow spending requirement to be satisfied by combining purchases under the candidate’s own membership number and the membership number of one other adult member who resides at the same address.
RULE 81 Qualifications for Directors
CURRENT
81.3 To be eligible as a candidate in an election to a term of office (including an acclamation), the individual or member eligible organization of which the individual is a designated representative is required to have purchased goods or services, or a combination of both, from the Association, worth at least:
81.3.1 $2,400 during the last financial year of the Association, or
81.3.2 $7,200 during the previous 3 financial years of the Association.
81.4 No individual is entitled to become, continue serving as, or act as a director of the Association if:
81.4.1 the individual is under the age of 18 years;
81.4.2 the individual is found by a court, in Canada or elsewhere, to be incapable of managing the individual’s own affairs;
81.4.3 the individual is an undischarged bankrupt;
81.4.4 the individual is convicted in or out of British Columbia of an offence in connection with the promotion, formation or management of a corporation, or an offence involving fraud, unless the events described in the Act have occurred;
81.4.5 the individual is an employee of the Association or has been employed by the Association within 2 years prior to the annual nomination deadline;
81.4.6 if at any time the individual has been involved in any:
81.4.6.1 litigation against the Association, including, without limitation, any claim governed by the Civil Resolution Dispute Tribunal;
81.4.6.2 claim against the Association that involves arbitration or is governed by the Arbitration Act;
81.4.6.3 claim against the Association alleging any human rights violation;
81.4.6.4 mediation of a claim against the Association; or has otherwise made or alleged any claim against the Association, regardless of whether or not such claim has been settled, dismissed, resolved or withdrawn;
81.4.7 the individual or a member eligible organization of which the individual is a director has an account with the Association that is not in good standing.
AMENDMENTS
Add:
81.3.3 Notwithstanding subsections 81.3.1 and 81.3.2, the spending requirement may be satisfied by the aggregate value of goods or services purchased under: (a) the candidate’s own membership number, and/or (b) the membership number of one other member who resides at the same address as the candidate, provided that:
(i) the candidate discloses the relevant membership number(s) on the nomination form;
(ii) each such member signs a written authorization (in a form approved by the Board)
consenting to verification of their spending records by the Association and confirming their support for the candidate’s nomination or appointment; and
(iii) the spending records are verified by the Association prior to confirming eligibility.
81.5 The Board may establish administrative policies and forms for household verification and authorization that are consistent with the Personal Information Protection and Electronic Documents Act (PIPEDA). Failure to provide required authorizations or verification shall render the candidate ineligible.
RESOLUTION:
WHEREAS, Rule 81 of the Association currently sets out the spending requirement for eligibility as a candidate for election to the Board of Directors;
WHEREAS, the Board has identified a need to recognize shared household purchasing patterns while maintaining appropriate verification safeguards;
THEREFORE, be it resolved that Rule 81 be amended by adding the following new subsections and rule, to read:

RESOLUTION:
WHEREAS, Rule 122 of the current bylaws mandates that directors present at a committee meeting must sign their names in a designated attendance book;
WHEREAS, there is a need for flexibility in recording attendance to accommodate evolving methods and technologies;
THEREFORE, be it resolved that Bylaw 122 be amended as follows:
122 A director who is present at a meeting of directors committee must ensure that attendance is recorded, with the method to be determined by the Board of Directors from time to time.
